Has your company been deleted from the business register?
In connection with the amendment to the Commercial Register Act, thousands of companies were deleted from the Commercial Register after 31 September 2021 due to an unchanged nominal value of the registered capital of the company. However, the Ministry of Justice gives these companies a second chance and allows the business register entry to be renewed.
A company that is interested in renewing its entry in the Commercial Register must complete several steps in addition to filing a petition with the relevant registry court by 31 January 2022.
Together with the proposal for the renewal of the company's registration in the Commercial Register, the company is also obliged to submit a number of documents proving the fulfillment of the legal conditions for the renewal of the registration. The conditions for the renewal of the company's registration in the Commercial Register include:
- proving the existence of the company's assets,
- proof that the sole reason for the cancellation was the unchanged nominal value of the share capital, and
- elimination of this defect, that means change in the nominal value of the share capital from the Slovak koruna to Euro.
On the basis of the submitted documents, the court may decide to renew the registration of the company in the Commercial Register.
